The requirement is ongoing, not a formation formality. If your agent’s address becomes invalid or they stop serving, your business falls out of compliance, and eventually the state can administratively dissolve it.
Why Not Just Be Your Own Agent?
You can. North Carolina permits an owner with a North Carolina street address to serve as their own registered agent, and plenty of people do. Three reasons they often reconsider:
Your address becomes public record. The registered agent’s address appears in the Secretary of State’s searchable database. If you run your business from home, your home address is published, findable by anyone, and it tends to attract a steady stream of solicitation mail.
You have to actually be there. The agent must be available at that address during business hours. If you work from client sites, travel, or simply aren’t home midday, a delivery can be missed. Missing service of process is the expensive version of this problem, because a lawsuit can proceed while you’re unaware of it.
If you move, you have to file. Every address change requires updating your registration with the state. People forget, and the state’s notices then go to an address you’ve left.
And if you’re out of state: you can’t be your own agent. A North Carolina entity requires an agent with a physical North Carolina address, which is why out-of-state owners need this service rather than merely preferring it.
