What a registered agent does
North Carolina requires every LLC and corporation to name a registered agent: a person or business with a physical street address in the state, available during normal business hours, designated to receive official documents on the company’s behalf. Those documents fall into two categories.
State correspondence
Annual report notices and anything the Secretary of State or Department of Revenue sends.
Service of process
Legal papers if your business is sued. This is why the requirement exists: the state needs a reliable place to deliver a lawsuit, so a business can’t avoid a claim by being hard to find.
The requirement is ongoing, not a formation formality. If your agent’s address becomes invalid or they stop serving, your business falls out of compliance, and eventually the state can administratively dissolve it.
Why not just be your own agent?
You can. North Carolina permits an owner with a North Carolina street address to serve as their own registered agent, and plenty of people do. Three reasons they often reconsider:
Your address becomes public record
The registered agent’s address appears in the Secretary of State’s searchable database. If you run your business from home, your home address is published, findable by anyone, and it tends to attract a steady stream of solicitation mail.
You have to actually be there
The agent must be available at that address during business hours. If you work from client sites, travel, or simply aren’t home midday, a delivery can be missed. Missing service of process is the expensive version of this problem, because a lawsuit can proceed while you’re unaware of it.
If you move, you have to file
Every address change requires updating your registration with the state. People forget, and the state’s notices then go to an address you’ve left.
And if you’re out of state: you can’t be your own agent. A North Carolina entity requires an agent with a physical North Carolina address, which is why out-of-state owners need this service rather than merely preferring it.

How to get started
Two routes, depending on whether your business exists yet.
FORMING A NEW BUSINESS
If you’re forming a new business, registered agent service is included as part of business formation. Nothing separate to arrange.
EXISTING BUSINESS
If you have an existing business, changing your registered agent means filing a change of registered agent form with the NC Secretary of State. There’s a modest state fee, and I handle the filing. The change takes effect once processed, and there’s no disruption to your business.
WHY TRIANGLE TAX
The person receiving your mail knows your filings.
When a notice arrives, you get an answer, not just a scan.
National services scan and upload
Most registered agent services are national companies operating at scale. They’ll receive your mail and upload a scan, which is the service, and it works.
A scan doesn't explain it
What they can’t do is tell you what the document means. When a notice arrives from the Department of Revenue about a filing you don’t recognize, or the Secretary of State flags something on your annual report, a scan in a portal doesn’t help much.
Your Enrolled Agent reads it
Here, the person receiving your mail is also your Enrolled Agent and likely handles your bookkeeping and business tax preparation. If a state tax notice arrives, I know your filings and can tell you immediately whether it needs action. If it’s a legal matter, I’ll tell you to get an attorney rather than sitting on it.
A real office in Cary
We’re a real office in Cary, not a mail drop, and the pricing is comparable to national providers. I’m also a notary public, if you need documents notarized while you’re here.
Registered agent questions
Do I legally need a registered agent in North Carolina?
Yes, for any LLC or corporation registered in the state. Sole proprietorships and general partnerships that haven’t registered with the state don’t have this requirement, since there’s no entity to serve.
Can I use a PO Box?
No. The registered agent address must be a physical street address in North Carolina where someone can be served in person. PO Boxes and virtual mailbox addresses generally don’t satisfy the requirement.
What happens if I don't maintain a registered agent?
Your business falls out of good standing. The state can eventually administratively dissolve the entity, which means losing the liability protection you formed it for. Reinstatement is usually possible but involves fees and paperwork, and there may be a gap in your protection during the lapse.
How much does registered agent service cost?
It’s an annual fee, comparable to what national providers charge. I’ll quote it directly, and it’s included when I handle your business formation.
Can I change my registered agent at any time?
Yes, by filing a change with the Secretary of State and a small state fee. It’s routine, and I handle the filing.
Will you forward my regular business mail?
Registered agent service covers official state documents and legal service, not general business mail. If you need a broader mail solution, that’s a different arrangement and we can talk about it.
I live in another state but want to form an LLC in North Carolina. Can you help?
Yes, and you’ll need a North Carolina registered agent, since you can’t serve as your own without a physical address here. This is one of the most common reasons people use this service.
Ready to get started?
Schedule a free consultation, or just call and ask. If you’re forming a business, this comes as part of the setup. If you’re switching from your home address or another provider, the change takes one filing.
